Service Agreement: This agreement is in legal conformity between LazyMovie and its clients. According to this the client availing the services of LazyMovie.com, accepts that he or she has read, understood and has agreed to comply with the terms and conditions declared in this agreement.

I. In these conditions:
            a. The Client means any individual, company, firm or other organization who or which has                 registered and availed of the services of LazyMovie, the seller.
            b. The Seller stands for the company LazyMovie
            c. The contract means the deal for the sale and acquisition of services between the Seller and the                 Client comprising the agreed quotation of the Seller that is accepted by the Client or any order                 of the Client that is accepted by the Seller whichever first occurs.
            d. Service(s) refers to the assistance offered by the seller for a quoted price.

II. Acceptance – ALL SALES ARE SUBJECT TO AND EXPRESSLY CONDITIONED UPON THE TERMS AND      CONDITIONS CONTAINED HEREIN, WHICH ARE ACCEPTED BY THE BUYER UPON AVAILING OF THE      SERVICE(S) OF THE SELLER WITH WHICH THE SELLER HAS CONFIRMED.

III. When a client avails of the service(s), LazyMovie, the seller, will ask from the client his/ her company       profile for LazyMovie to determine the client’s business viability and the client’s ability to pay the       seller for the service(s) availed.

IV. LazyMovie reserves the right not to proceed on the Free “1 sec. Video Clip” Editing promotion if      LazyMovie deems to believe that the newly registered client is not serious.

V. All project requests from clients have a contract, separate from this Terms and Agreement, stating the     agreed quoted price at a given workload quantity, specific terms of payment, the project period and     other conditions that is not be covered in this agreement.

The seller requires large project requests from clients to be in written contract, separate from this Terms and Agreement, stating the agreed quoted price, the given workload quantity, specific terms of payment , the project period, and all other conditions that the seller and the client may require that is not covered in this agreement.

VI. Upon the delivery of the finished project, the client is given two weeks to evaluate the project. The client      shall notify the seller for any claims of damages, for claims of poor quality, and if the he/ she is just not      satisfied with the finished project. If the client fails to notify the seller within two weeks for any claims      and dissatisfactions, such finished project shall be deemed to have been irrevocably accepted by the      client and thus he/ she must pay for it within the agreed terms.

VII. Privacy Statement – All information given by the clients will be treated with utmost confidentiality and       will not be used or disclosed with anyone else, aside from the company, without the client’s consent.       Information supplied by the client will only be used in aiding the LazyMovie to improve its services       further and nothing else. The videos sent by the client are all protected by copyright. It will not be       reproduced in any way without the client’s consent. It is the client who will decide if his/ her videos be       placed in LazyMovie’s archive samples or if the seller can send previews of the client’s videos, provided       further that a copyright identity, called watermarking, is placed.

VIII. Miscellaneous – The seller’s failure to strictly enforce any term or condition of this order or to exercise         any right arising hereunder shall not constitute a waiver of the seller’s right to strictly enforce such         terms or conditions or exercises such right thereafter.

If any provision of this agreement shall be held to be invalid, illegal or unenforceable, the validity, legality and enforceability of the remaining provisions shall not be affected or impaired thereby.

IX. All disputes as to the legality, interpretation, application, or performance of this agreement or any      contracts between the seller and the client shall be governed by the law of the Philippines.
